This Agreement is made between Tasksarge.ai (“Service Provider”) and the Client (“Client”) who engages in services provided by Tasksarge.ai. This MSA governs all automation, AI implementation, CRM development, and communication-related services rendered by the Service Provider.

1. Scope of Work
Tasksarge.ai provides implementation of automation workflows, AI agents, lead generation tools, CRM systems, and communication integrations.

2. Payment Terms

• Invoices must be paid prior to commencement of work.

• Monthly services are billed on a recurring basis and cancelable anytime.

• Project-based work is subject to a minimum fee and milestone-based scheduling.

3. Communication Tools & Legal Compliance

• Client assumes full responsibility for the legal compliance of all communication activities executed through services configured by Tasksarge.ai.

• Client affirms that all lead/contact data has been obtained legally and with appropriate consent.

• Tasksarge.ai does not guarantee message delivery or platform uptime from third-party vendors

4. Indemnification
Client agrees to indemnify and hold harmless Tasksarge.ai from any claims, liabilities, or legal actions arising out of:

• Use of communication platforms

• Data submitted by the client

• Violations of regional or national communications laws (e.g., TCPA, GDPR, CAN-SPAM)

5. Intellectual Property

• Tasksarge.ai retains ownership of all reusable frameworks, templates, or proprietary tools created during service.

• Client retains ownership of their business data, lead records, and CRM content.

6. Confidentiality
Both parties agree to protect the confidentiality of sensitive business, customer, or platform information shared during the engagement.

7. Limitation of Liability
Tasksarge.ai is not liable for:

• Loss of revenue or opportunity due to automation misfires or platform issues

• System downtime caused by third-party APIs or service disruptions

• Legal liability arising from client misuse of communication tools

8. Termination

• Either party may terminate ongoing services with written notice.

• Unused portions of project-based services are non-refundable once work has commenced.

9. Governing Law
This Agreement shall be governed by the laws of the State of Texas, without regard to conflict of law. By using our service:

1. You agree that you are responsible for ensuring legal compliance with all outreach activity.

2. You confirm that your contact lists are permission-based and properly sourced.

3. You agree to indemnify Tasksarge.ai from any claims related to misuse of communication tools.

4. Tasksarge.ai makes no guarantee of message deliverability, third-party uptime, or campaign performance.

Use of our services implies your acceptance of these terms.
